Terms of Service

The agreement between you and Jnana AI Labs Private Limited when you use Adviora — what we provide, what we ask of you, who owns what, and how either side can end it.

1. Introduction

Welcome to Adviora.ai ("Adviora", "we", "our", "us", or the "Company"), an AI-powered Marketing Intelligence Platform operated by Jnana AI Labs Private Limited.

These Terms of Service ("Terms") govern your access to and use of:

  • the Adviora.ai website
  • the Adviora cloud platform
  • Customer Discovery Engine (CDE)
  • AI-powered marketing intelligence services
  • APIs
  • dashboards
  • reports
  • browser-based applications
  • mobile applications (if introduced)
  • software integrations
  • automation features
  • marketing workflow tools
  • documentation
  • and any other services provided under the Adviora brand (collectively, the "Services")

These Terms form a legally binding agreement between you and Jnana AI Labs Private Limited.

If you are using the Services on behalf of a company, partnership, institution, government agency, or other legal entity, you represent and warrant that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. About Adviora

Adviora is an enterprise Software-as-a-Service (SaaS) platform designed to help organisations make better marketing decisions through artificial intelligence, analytics, and data-driven insights.

Depending upon the subscribed Services, Adviora may provide capabilities including:

  • Customer Discovery Engine (CDE)
  • Buyer Persona Generation
  • Customer Segmentation
  • Marketing Intelligence
  • Search Engine Optimization (SEO) Intelligence
  • Content Intelligence
  • Competitor Intelligence
  • Campaign Intelligence
  • Website Analysis
  • AI-assisted Marketing Recommendations
  • Marketing Analytics
  • Business Intelligence Dashboards
  • Reporting and Visualisation
  • Marketing Automation
  • Campaign Execution
  • Workflow Automation
  • API Integrations
  • AI Assistants
  • Predictive Analytics
  • and future platform capabilities introduced by Adviora

Certain Services may be designated as beta, preview, early access, experimental, or limited availability.

3. Acceptance of these Terms

By accessing or using the Services, you confirm that:

  • you have read these Terms
  • you understand these Terms
  • you agree to be bound by these Terms
  • you have legal capacity to enter into a binding agreement
  • all information you provide is accurate
  • and you will comply with applicable laws while using the Services

If you are accepting these Terms on behalf of an organisation, all references to "you" include that organisation.

4. Definitions

For purposes of these Terms:

Account
means a registered user account used to access the Services.
Administrator
means an individual authorised to manage an organisation's workspace, users, subscriptions, permissions, and integrations.
AI Output
means any recommendation, report, summary, content, analysis, prediction, classification, visualisation, insight, or other information generated by artificial intelligence through the Services.
API
means any application programming interface made available by Adviora.
Business Data
means information relating to an organisation's products, services, marketing activities, customers, campaigns, competitors, websites, analytics, or business operations.
Connected Platform
means a third-party service integrated with Adviora, including but not limited to Google, Meta, LinkedIn, Microsoft, Shopify, WordPress, CRM systems, analytics platforms, and marketing tools.
Customer
means the organisation subscribing to the Services.
Customer Data
means all information submitted, uploaded, connected, synchronised, transmitted, or otherwise provided by the Customer through the Services.
Documentation
means user guides, technical documentation, manuals, tutorials, and related materials published by Adviora.
Services
means all software, websites, APIs, AI systems, dashboards, reports, documentation, and related services provided by Adviora.
Subscription
means a paid or free licence granting access to specified Services.
User
means any individual authorised by a Customer to access the Services.
Workspace
means an organisation's dedicated environment within Adviora.

5. Eligibility

You may use the Services only if:

  • you are at least eighteen (18) years of age or the minimum age required under applicable law to enter into a binding contract
  • you are legally capable of entering into contracts
  • your use complies with applicable laws and regulations
  • and you are not prohibited from using the Services under applicable laws

The Services are intended primarily for business and professional use and are not designed for consumer or personal household purposes.

6. User accounts

To access certain Services, you must create an account.

You agree to:

  • provide accurate and complete registration information
  • keep your information current
  • maintain the confidentiality of your login credentials
  • use strong passwords
  • promptly notify Adviora of any suspected unauthorised access
  • accept responsibility for activities conducted through your account unless caused by Adviora's negligence or security failure

Adviora may suspend or disable accounts reasonably believed to have been compromised or used in violation of these Terms.

7. Organisation accounts

Where Services are provided to organisations:

  • the organisation owns and administers the workspace
  • designated administrators control user access
  • administrators may create, modify, suspend, or remove user accounts
  • administrators may configure permissions
  • administrators may connect third-party platforms
  • administrators may access reports and organisational information generated through the Services

Users acknowledge that their organisation may administer their accounts in accordance with the organisation's own policies.

8. Subscription plans

Adviora may offer:

  • Free plans
  • Trial subscriptions
  • Professional subscriptions
  • Enterprise subscriptions
  • Custom commercial agreements

Features, usage limits, storage allocations, AI credits, API limits, and available functionality vary by subscription.

Adviora reserves the right to modify subscription offerings, provided that material reductions affecting active paid subscriptions will not take effect until the applicable renewal date unless otherwise agreed.

9. Billing and payments

Paid subscriptions are billed in accordance with the applicable Order Form, pricing page, or subscription agreement.

Unless otherwise agreed:

  • subscription fees are payable in advance
  • fees are exclusive of applicable taxes
  • Customers are responsible for applicable GST, VAT, sales taxes, or similar taxes
  • invoices are payable by the stated due date
  • recurring subscriptions automatically renew unless cancelled before renewal

Late payments may result in:

  • suspension of Services
  • restriction of features
  • late payment charges where permitted by law
  • or termination of the Subscription

Except where required by applicable law or expressly stated in a written agreement, subscription fees are non-refundable.

10. Changes to the Services

Adviora continuously develops and improves the platform. Accordingly, we may:

  • introduce new features
  • improve existing functionality
  • modify user interfaces
  • improve AI models
  • update algorithms
  • enhance security
  • discontinue obsolete functionality
  • introduce replacement technologies

Where reasonably practicable, material changes affecting subscribed functionality will be communicated in advance.

Nothing in these Terms obligates Adviora to maintain any particular feature indefinitely.

11. Beta, preview and experimental features

Certain Services may be identified as:

  • Beta
  • Preview
  • Experimental
  • Early Access
  • Limited Availability

Such Services are provided for evaluation purposes and may:

  • change without notice
  • contain errors
  • be incomplete
  • experience interruptions
  • produce inaccurate AI outputs
  • be discontinued at any time

Unless otherwise agreed in writing, beta features are provided "as is" without service level commitments.

12. Documentation

Adviora may provide documentation to assist Customers in using the Services.

Documentation is provided for informational purposes and may be updated periodically to reflect changes in the platform.

Customers may use Documentation solely in connection with their authorised use of the Services and may not reproduce, distribute, modify, or publish Documentation except as permitted by applicable law or with Adviora's prior written consent.

13. Acceptable use

Customers may use the Services only for lawful business purposes and in accordance with these Terms.

You agree not to use the Services to:

  • violate any applicable law or regulation
  • infringe the intellectual property rights of others
  • upload malicious software, viruses, worms, ransomware, spyware, or other harmful code
  • interfere with or disrupt the operation of the Services
  • gain unauthorised access to any system, account, network, or data
  • attempt to bypass security measures implemented by Adviora
  • perform denial-of-service attacks, vulnerability scanning, penetration testing, or security assessments against Adviora without prior written authorisation
  • use automated tools to scrape, copy, extract, or harvest data from Adviora except through officially supported APIs
  • reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Services except where expressly permitted by applicable law
  • remove or alter copyright notices, trademarks, or proprietary notices
  • impersonate another individual or organisation
  • create fraudulent accounts or misrepresent your identity
  • interfere with another Customer's use of the Services
  • upload information you are not legally authorised to process or share
  • use the Services to distribute spam, phishing content, or deceptive communications
  • knowingly submit inaccurate, misleading, or unlawful information
  • or use the Services in any manner that could reasonably damage the security, availability, integrity, or reputation of Adviora or its Customers

Adviora reserves the right to investigate suspected misuse and take appropriate action, including suspension or termination of access.

14. Responsible use of artificial intelligence

Adviora incorporates artificial intelligence to assist Customers in analysing data, identifying opportunities, generating recommendations, and supporting marketing decision-making.

You agree not to use Adviora's AI capabilities to:

  • generate unlawful or fraudulent content
  • facilitate phishing, scams, or deceptive marketing practices
  • produce defamatory, hateful, discriminatory, or abusive content
  • intentionally spread misinformation or disinformation
  • create or distribute malware
  • generate content that infringes the intellectual property rights of others
  • create deepfakes or synthetic media intended to mislead
  • profile individuals in violation of applicable law
  • facilitate unlawful surveillance or monitoring
  • make automated decisions where prohibited by applicable law without appropriate human oversight
  • or use the Services in a manner inconsistent with applicable AI regulations

Customers remain responsible for reviewing and validating AI-generated outputs before use.

15. Customer responsibilities

Customers are solely responsible for:

  • the accuracy, completeness, and legality of Customer Data
  • obtaining all permissions, authorisations, and consents necessary to upload, connect, or process Customer Data through the Services
  • ensuring compliance with applicable privacy, advertising, consumer protection, competition, and intellectual property laws
  • maintaining appropriate security for user credentials
  • managing user access within their organisation
  • reviewing AI-generated recommendations before implementation
  • ensuring compliance with the terms and conditions of connected third-party platforms
  • maintaining appropriate backups of information where required by their own business continuity policies
  • and all business, marketing, financial, legal, and operational decisions made using information generated by the Services

Adviora does not assume responsibility for the legality, accuracy, or reliability of Customer Data supplied by Customers.

16. Third-party integrations

Adviora enables Customers to connect third-party platforms to facilitate analytics, reporting, marketing intelligence, and workflow automation.

Supported integrations may include services provided by:

  • Google
  • Meta
  • Microsoft
  • LinkedIn
  • Shopify
  • WordPress
  • WooCommerce
  • CRM providers
  • marketing automation platforms
  • analytics platforms
  • and other supported services

Customers authorise Adviora to access information from connected platforms solely to provide the Services requested by the Customer.

Adviora:

  • accesses only the permissions granted by the Customer
  • does not assume ownership of third-party platform data
  • does not control third-party APIs or services
  • and cannot guarantee the continued availability of third-party integrations

Customers may revoke integration permissions through the relevant third-party platform or within the Services where available.

17. Website analysis and public information

Certain Adviora features analyse publicly available online information to provide marketing intelligence, SEO recommendations, customer discovery, competitor benchmarking, and related insights.

Where requested by the Customer, Adviora may access:

  • publicly accessible web pages
  • website metadata
  • search engine indexing information
  • publicly available business information
  • publicly accessible content
  • publicly available technical website signals
  • and other publicly available information reasonably necessary to provide the requested Services

Adviora does not intentionally access:

  • password-protected systems
  • restricted content
  • confidential databases
  • information protected by technical access controls
  • or information obtained through unlawful means

Customers represent that they have the necessary rights and authority to request analysis of their own digital properties.

18. Customer Data

As between Adviora and the Customer, Customer retains all right, title, and interest in and to Customer Data.

Nothing in these Terms transfers ownership of Customer Data to Adviora.

Customer grants Adviora a limited, non-exclusive, worldwide, royalty-free licence during the Subscription Term solely to:

  • host Customer Data
  • store Customer Data
  • process Customer Data
  • analyse Customer Data
  • generate reports
  • provide AI-powered insights
  • create dashboards
  • perform backups
  • provide customer support
  • improve platform functionality using aggregated or de-identified information where appropriate
  • and otherwise provide the Services requested by the Customer

This licence terminates upon deletion of Customer Data or termination of the applicable Subscription, subject to applicable legal obligations, backup retention policies, and archival requirements.

19. AI Inputs and AI Outputs

Customers may provide prompts, instructions, uploaded documents, datasets, and other information ("AI Inputs") for processing through Adviora's AI capabilities.

Based on those AI Inputs, Adviora may generate:

  • recommendations
  • reports
  • summaries
  • customer personas
  • marketing strategies
  • forecasts
  • classifications
  • visualisations
  • content suggestions
  • SEO recommendations
  • and other AI-generated outputs ("AI Outputs")

Subject to these Terms and applicable law:

  • Customers retain ownership of their AI Inputs
  • Customers own AI Outputs generated specifically for their workspace, to the extent such ownership is recognised under applicable law
  • Adviora retains ownership of the underlying software, AI orchestration, prompts, workflows, algorithms, models, and platform technology used to generate AI Outputs

Because AI technologies are probabilistic in nature, similar outputs may be generated independently for different Customers.

20. AI limitations

Adviora's AI capabilities are designed to assist — not replace — human judgment.

Customers acknowledge that AI Outputs:

  • may be incomplete
  • may contain inaccuracies
  • may become outdated
  • may omit relevant information
  • may require human verification
  • and should not be relied upon as the sole basis for significant business decisions

Adviora does not guarantee that AI Outputs will:

  • increase revenue
  • improve search engine rankings
  • generate leads
  • improve advertising performance
  • increase conversion rates
  • achieve regulatory compliance
  • or produce any specific commercial outcome

Customers remain solely responsible for reviewing, approving, and implementing any actions based upon AI Outputs.

21. Intellectual property

Except for Customer Data and rights expressly granted under these Terms, Adviora and its licensors retain all right, title, and interest in and to the Services. This includes, without limitation:

  • software
  • source code
  • object code
  • APIs
  • databases
  • user interfaces
  • workflows
  • AI orchestration
  • algorithms
  • machine learning models
  • prompt engineering techniques
  • Customer Discovery Engine methodologies
  • recommendation methodologies
  • dashboards
  • visual designs
  • trademarks
  • logos
  • documentation
  • reports generated from proprietary methodologies
  • and all related intellectual property rights

Nothing in these Terms transfers ownership of Adviora's intellectual property to the Customer.

22. Feedback

Customers may voluntarily provide suggestions, ideas, recommendations, enhancement requests, bug reports, or other feedback relating to the Services.

Unless otherwise agreed in writing, Customers grant Adviora a perpetual, worldwide, irrevocable, royalty-free licence to use such feedback for the purpose of developing, improving, and supporting the Services without any obligation to compensate the Customer.

Feedback will not include Customer Confidential Information unless expressly identified and separately agreed.

23. Confidentiality

Each party ("Receiving Party") may receive confidential or proprietary information from the other party ("Disclosing Party") in connection with the Services.

Confidential Information includes, but is not limited to:

  • business strategies
  • pricing
  • source code
  • software architecture
  • trade secrets
  • algorithms
  • AI workflows
  • Customer Data
  • marketing strategies
  • financial information
  • API credentials
  • security practices
  • unpublished product plans
  • and any information designated as confidential or that should reasonably be understood to be confidential

The Receiving Party agrees to:

  • use Confidential Information only for purposes of performing under these Terms
  • protect Confidential Information using reasonable safeguards no less protective than those used for its own confidential information
  • restrict access to personnel who have a legitimate need to know and who are bound by confidentiality obligations
  • and not disclose Confidential Information to any third party except as permitted under these Terms or required by applicable law

These obligations do not apply to information that:

  • is or becomes publicly available through no fault of the Receiving Party
  • was lawfully known to the Receiving Party before disclosure
  • is independently developed without use of the Disclosing Party's Confidential Information
  • or is lawfully obtained from a third party without breach of confidentiality

The confidentiality obligations under this Section survive termination of these Terms for a period of five (5) years, except that obligations relating to trade secrets and Customer Data survive for as long as such information remains confidential under applicable law.

24. Privacy and data protection

Adviora processes Personal Data in accordance with its Privacy Notice, which is incorporated into these Terms by reference.

Customers acknowledge that:

  • the Privacy Notice describes how Personal Data is collected, used, disclosed, retained, and protected
  • Adviora may act as either a Data Fiduciary (Controller) or Data Processor depending upon the nature of the processing and applicable law
  • Customers remain responsible for ensuring they have appropriate legal authority to upload, connect, or otherwise provide Customer Data to the Services
  • and Customers are responsible for complying with applicable privacy laws governing their own collection and use of Personal Data

Where applicable, the parties agree to cooperate in fulfilling privacy obligations under the Digital Personal Data Protection Act, 2023 (India), GDPR, and other applicable data protection laws.

Enterprise Customers may request execution of a separate Data Processing Addendum ("DPA") where required.

25. Information security

Adviora maintains administrative, technical, and organisational measures designed to protect Customer Data against unauthorised access, disclosure, alteration, or destruction.

Security measures may include:

  • encrypted communications using TLS
  • encryption of sensitive information at rest where appropriate
  • role-based access controls
  • authentication and authorisation mechanisms
  • infrastructure monitoring
  • audit logging
  • vulnerability management
  • backup and disaster recovery procedures
  • secure software development practices
  • and regular operational reviews of security controls

While Adviora implements reasonable safeguards, no internet-based service or electronic storage system can be guaranteed to be completely secure.

Customers are responsible for maintaining the confidentiality of their account credentials and implementing appropriate security measures within their own environments.

26. Service availability

Adviora will use commercially reasonable efforts to make the Services available to Customers.

However, the Services may occasionally be unavailable due to:

  • scheduled maintenance
  • emergency maintenance
  • infrastructure upgrades
  • security incidents
  • telecommunications failures
  • internet disruptions
  • failures of third-party service providers
  • cloud infrastructure outages
  • force majeure events
  • or circumstances beyond Adviora's reasonable control

Unless expressly agreed under a separate Service Level Agreement (SLA), Adviora does not guarantee uninterrupted or error-free availability of the Services.

27. Maintenance and updates

Adviora continuously improves the Services. Accordingly, Adviora may:

  • install updates
  • modify features
  • improve AI models
  • improve algorithms
  • replace components
  • improve security controls
  • fix software defects
  • optimise performance
  • and remove deprecated functionality

Where reasonably practicable, maintenance expected to materially affect Service availability will be scheduled during maintenance windows and communicated in advance.

28. Suspension of Services

Adviora may suspend access to all or part of the Services immediately where reasonably necessary to:

  • protect the security or integrity of the platform
  • investigate suspected fraud or unlawful activity
  • respond to a court order or lawful governmental request
  • prevent harm to Customers or third parties
  • address violations of these Terms
  • investigate security incidents
  • prevent unauthorised access
  • or address non-payment of undisputed fees following reasonable notice

Where reasonably practicable, Adviora will provide notice before suspension or promptly thereafter.

Suspension does not relieve Customers of payment obligations accrued prior to suspension.

29. Termination

Either party may terminate a Subscription in accordance with the applicable subscription agreement, Order Form, or pricing plan.

Adviora may terminate these Terms immediately if the Customer:

  • materially breaches these Terms and fails to cure the breach within thirty (30) days after written notice, where the breach is capable of cure
  • repeatedly violates these Terms
  • engages in unlawful activity through the Services
  • infringes the intellectual property rights of Adviora or third parties
  • becomes insolvent, enters liquidation, or ceases business operations
  • or uses the Services in a manner that materially threatens the security or integrity of the platform

Upon termination:

  • Customer access to the Services will cease
  • Subscription rights will end
  • outstanding payment obligations remain payable
  • Customer Data will be handled in accordance with the Privacy Notice and applicable agreements
  • and provisions intended to survive termination will remain in effect

30. Business decision responsibility

Adviora provides analytical insights, reports, forecasts, customer personas, segmentation, classifications, optimisation recommendations, AI-generated content, and other decision-support information to assist Customers in making informed business decisions.

Customers acknowledge and agree that:

  • all AI-generated outputs are advisory in nature
  • Adviora does not act as a marketing agency, investment adviser, legal adviser, accounting firm, or professional consultant
  • Customers remain solely responsible for evaluating, approving, implementing, and monitoring all business decisions made using the Services
  • Customers are solely responsible for advertising spend, marketing budgets, campaign execution, customer communications, pricing decisions, and regulatory compliance
  • and Adviora does not make decisions on behalf of Customers unless expressly agreed through separately contracted managed services

31. No guarantee of marketing outcomes

Adviora makes no representation or warranty that use of the Services will result in:

  • increased revenue
  • increased profits
  • improved search engine rankings
  • improved visibility in AI-generated search experiences
  • higher advertising performance
  • greater customer acquisition
  • increased website traffic
  • improved conversion rates
  • increased return on investment (ROI)
  • greater social media engagement
  • improved brand reputation
  • or achievement of any specific commercial objective

Marketing outcomes depend upon numerous factors beyond Adviora's control, including market conditions, competition, customer behaviour, advertising platforms, search engine algorithms, business strategy, implementation quality, and external economic conditions.

32. Third-party services disclaimer

Adviora integrates with various third-party platforms and services. Adviora is not responsible for:

  • changes to third-party APIs
  • discontinuation of integrations
  • service interruptions of third-party providers
  • changes to search engine algorithms
  • advertising platform policies
  • social media platform policies
  • API rate limits
  • authentication failures caused by third-party providers
  • or decisions made by third-party service providers

Use of third-party services remains subject to the terms and privacy policies of those providers.

33. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Adviora expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of:

  • merchantability
  • fitness for a particular purpose
  • non-infringement
  • uninterrupted operation
  • accuracy of AI-generated outputs
  • completeness of reports
  • reliability of forecasts
  • and compatibility with every third-party platform

Adviora does not warrant that:

  • the Services will be uninterrupted
  • the Services will be error-free
  • defects will always be corrected
  • AI Outputs will always be accurate
  • search engines or advertising platforms will behave consistently
  • integrations will remain permanently available
  • or Customer expectations or business objectives will be achieved

Nothing in these Terms excludes warranties that cannot be excluded under applicable law.

34. Limitation of liability

To the maximum extent permitted by applicable law, Adviora, Jnana AI Labs Private Limited, its affiliates, directors, officers, employees, licensors, and suppliers shall not be liable for any:

  • indirect damages
  • incidental damages
  • consequential damages
  • punitive damages
  • exemplary damages
  • loss of profits
  • loss of revenue
  • loss of goodwill
  • business interruption
  • loss of anticipated savings
  • loss of business opportunities
  • advertising losses
  • loss of search rankings
  • loss of customers
  • loss of data (except to the extent caused by Adviora's failure to implement reasonable security safeguards)
  • reputational harm
  • or any damages arising from reliance upon AI-generated outputs

Except for liability that cannot legally be limited, Adviora's aggregate liability arising out of or relating to the Services shall not exceed the total fees paid by the Customer to Adviora for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

The limitations in this Section apply regardless of the legal theory on which liability is based, including contract, tort (including negligence), strict liability, or otherwise.

35. Indemnification

The Customer agrees to defend, indemnify, and hold harmless Adviora, Jnana AI Labs Private Limited, its affiliates, officers, directors, employees, contractors, and licensors from and against any third-party claims, damages, liabilities, judgments, settlements, penalties, costs, and reasonable legal fees arising out of or relating to:

  • Customer Data
  • the Customer's use of the Services
  • violation of these Terms
  • infringement of intellectual property rights by Customer Data
  • violation of applicable law by the Customer
  • unlawful marketing practices
  • misleading or deceptive advertising
  • unauthorised use of third-party platforms
  • or negligence or wilful misconduct by the Customer

Adviora will promptly notify the Customer of any indemnified claim and cooperate reasonably in its defence, at the Customer's expense.

36. Force majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including:

  • natural disasters
  • epidemics or pandemics
  • war
  • terrorism
  • civil unrest
  • governmental actions
  • internet outages
  • cloud infrastructure failures
  • labour disputes
  • power failures
  • or other force majeure events

The affected party shall use commercially reasonable efforts to resume performance as soon as practicable.

37. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

The parties shall first attempt in good faith to resolve any dispute through mutual discussions.

If a dispute cannot be resolved within thirty (30) days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.

  • The seat and venue of arbitration shall be Coimbatore, Tamil Nadu, India.
  • The arbitration shall be conducted in the English language.
  • The arbitral tribunal shall consist of a single arbitrator mutually appointed by the parties, or appointed in accordance with the Act if the parties cannot agree.

38. General provisions
